By creating an Account in WebsiteRanking.ai as an Authorized User and/or by accessing and using the WebsiteRanking.ai Platform or website, www.WebsiteRanking.ai (the "Site"), you accept these Terms of Service (the "Terms"), and you acknowledge that you, on your own behalf as an individual and/or on behalf of your employer or another legal entity (collectively, "you" or "your"), have read and understood and agree to comply with these Terms, and are entering into a binding legal agreement with WebsiteRanking.ai, Ltd. and/or, where applicable, one of its group companies or affiliates ("WebsiteRanking.ai", "us", "we" or "our").
If you are creating an Account, you are entering into these Terms on behalf of your team, company, organization or any other entity that you either represent or belong to (the "Organization"), and you represent and warrant that you have full authority to bind your Organization to these Terms. If you do not agree to comply with and be bound by these Terms or do not have authority to bind your Organization, please do not accept these Terms or access or use the Platform. To the extent allowed under applicable law, you hereby waive any applicable rights to require or receive an original (non-electronic) signature or delivery of non-electronic records of these Terms. If you have executed a written contract, service order or other agreement with WebsiteRanking.ai governing your access to and use of the Platform, then the terms of such agreement will govern and will supersede these Terms in the event of any conflict or inconsistency; except for the terms herein that refer to your access to, use of and/or registration for the Site or the terms that refer to creating an Account (as such term is defined herein) for your use of and/or access to our Platform in accordance with Section 7 herein, all of which shall remain in effect. All capitalized terms used herein shall have the meanings given for such terms herein.
Service. WebsiteRanking.ai is the owner or licensee of the WebsiteRanking.ai platform, a market intelligence solution that enables insights on estimated traffic and usage data for websites and mobile apps which is made available to you on a software as a service (SaaS) basis (the "Platform") through a web portal on our Site, and includes: (i) the software that you access via the Site; (ii) any other applications, extensions and features, if any, made available or provided to you by WebsiteRanking.ai in connection with the Site or Platform (the "Applications"); and (iii) the trademarks and logos ("Marks"), content, text, documents, descriptions, products, graphics, photos, sounds, videos, and interactive features (together with the Marks, "Content"), contained in or made available through the Site or Platform.
Site. The Site www.WebsiteRanking.ai is intended to provide you with information about WebsiteRanking.ai and its products, to enable you to purchase a subscription to the Platform and provide subscribers with a web portal to access the Platform and/or download the Applications, if any.
If you, as an Authorized User, access and use the Site and/or Platform, you represent and warrant that you are at least 18 years old (or 13 years old if you are registering with the supervision of an adult parent or guardian). The Site and/or Platform is only intended for individuals aged eighteen years or older, or thirteen (13) years or older with the supervision of an adult parent or guardian. If you are under 13 years old please do not visit, access or use the Site and/or Platform. If you are between 13 and 18 years of age, then you must review these Terms with your parent or guardian before visiting, accessing or using the Site to make sure that you and your parent or guardian understand these Terms and agree to them. You may not access and use the Platform if you are, and you represent and warrant that you are not, a competitor of WebsiteRanking.ai.
Subject to your compliance with these Terms as an Authorized User, WebsiteRanking.ai hereby grants you a non-exclusive, nontransferable, worldwide, revocable and limited license to use a limited version of the Platform with the features described on the Site ("Subscription") to access and use the Platform during the duration of your paid subscription term (the "Subscription Term"). You may be required to complete a registration process and create an account ("Account") in order to access and use the Platform. You are solely responsible for the accuracy and completeness of the information you provide during registration and for maintaining the confidentiality of your Account information, including your username and password. You agree to notify WebsiteRanking.ai immediately of any unauthorized use of your Account or any other breach of security. WebsiteRanking.ai cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.
Payments. To access and use the full features of the Platform, you must subscribe to a paid plan for the Subscription Term. You agree to pay all applicable fees and charges for the Subscription Term in accordance with the published pricing and payment terms displayed on the Site. All fees are non-refundable and non-transferable. WebsiteRanking.ai reserves the right to change the pricing and payment terms at any time, but such changes will not apply to existing subscriptions during the then-current Subscription Term.
Billing. You agree to provide a valid payment method (e.g., credit card, debit card, PayPal) at the time of signup. By providing your payment method, you authorize WebsiteRanking.ai to automatically charge your payment method for the Subscription fees at the beginning of each Subscription Term. You are responsible for any overdraft or insufficient funds charges you may incur. You may update your payment method information at any time through your Account settings.
Taxes. You are responsible for any applicable sales, use, or other taxes imposed on your use of the Platform.
Content Ownership. The Site and Platform, including all Content and Applications, are protected by copyright, trademark, and other intellectual property laws. You may not modify, publish, distribute, create derivative works of, or commercially exploit the Site or Platform, the Content, or the Applications. You may use the Content and Applications solely for your own personal, non-commercial purposes.
User Content. You may submit or upload content to the Platform ("User Content"). You retain all ownership rights in your User Content, but you grant WebsiteRanking.ai a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, distribute, and display your User Content in connection with the Platform and our business. You represent and warrant that your User Content does not violate any third-party rights or applicable laws. You are solely responsible for your User Content and the consequences of submitting or uploading it to the Platform.
Prohibited Use. You agree not to use the Site or Platform for any illegal or unauthorized purpose, including, but not limited to:
THE SITE AND PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SITE OR PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR RELIABLE, OR THAT THE CONTENT WILL BE ACCURATE, COMPLETE, OR RELIABLE. YOU ARE SOLELY RESPONSIBLE FOR THE CONSEQUENCES OF YOUR USE OF THE SITE AND PLATFORM.
IN NO EVENT SHALL WE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR PLATFORM, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
We may terminate your access to and use of the Site or Platform at any time, with or without cause, in our sole discretion. Without limiting the foregoing, we may terminate your access if you violate these Terms or any other applicable laws or regulations.
These Terms constitute the entire agreement between you and WebsiteRanking.ai with respect to your use of the Site and Platform. These Terms supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
No waiver of any breach of any provision of these Terms by you or WebsiteRanking.ai shall be construed as a waiver of any other provision or of any subsequent breach.
All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified or registered mail, postage prepaid, return receipt requested, or sent by overnight courier, addressed as follows:
